The Agency agrees to provide digital marketing services as outlined in the agreed-upon contract or proposal. The specific details of the services, including deliverables, timelines, and costs, will be outlined in a separate agreement.

3. Client Responsibilities

The client agrees to provide all necessary information and materials required for the execution of the digital marketing services. Delays in providing necessary materials may result in a delay in the delivery of services.

4. Payment

Payment terms and conditions will be outlined in the agreed-upon contract or proposal. The client agrees to make payments according to the specified schedule. Failure to make payments may result in the suspension or termination of services.

5. Intellectual Property

All intellectual property developed or provided by the Agency as part of the services, including but not limited to logos, graphics, and content, shall remain the property of the Agency until full payment has been received. Upon full payment, ownership and rights to the intellectual property will be transferred to the client.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement.

7. Termination

Either party may terminate the engagement with written notice if the other party breaches any material term of this agreement. The client is responsible for payment of services rendered up to the termination date.

8. Limitation of Liability

The Agency shall not be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, even if advised of the possibility of such damages.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].

10. Changes to Terms and Conditions

The Agency reserves the right to update and change these terms and conditions at any time. Clients will be notified of any changes, and continued use of the services after such notification constitutes acceptance of the new terms.
